Vendor Terms and Conditions

This page sets out the terms and conditions (“Terms”) which govern your use of the Owmer Ltd (“we”, “our” or “Owmer”) service, including any websites, mobile applications, devices, APIs, or artificial intelligence (“AI”) powered generative experiences that are operated by Owmer or its subsidiaries and affiliates (collectively, the “Services”).

We reserve the right to change these Terms from time to time by changing them on this page. We advise you to print a copy of these Terms for future reference. These Terms are only in the English language.

For the avoidance of doubt, please note that references to “website” in these Terms include any current or future version of our website https://www.owmerdelivery.com and any Owmer mobile application through which you access and use our Services, in each case whether accessed through any current or future platform or device (including without limitation any mobile website, mobile application, affiliate website or related website for accessing and using our Services that may be developed from time to time).

Owmer Ltd operates a grocery marketplace website and mobile application (collectively, the “Marketplace”) that connects consumers with vendors offering a variety of grocery products; and you desire to list and sell your grocery products on the Marketplace;

Now, therefore, in consideration of the foregoing premises and the mutual covenants contained herein, the parties agree as follows:

1. Listing Products

1.1. You grant Owmer the non-exclusive right to list and display your Products (as defined below) on the Marketplace.

1.2. “Products” means all grocery items offered for sale by you on the Marketplace, including but not limited to their descriptions, images, pricing, and availability.

1.3. You shall provide Owmer with all necessary information and materials for Product listings, including accurate descriptions, high-resolution images, and any applicable certifications.

1.4. Owmer reserves the right to refuse to list any or all Products that, in its sole discretion, does not comply with our listing guidelines or is otherwise inappropriate for the Marketplace.

2. Pricing and Fees

2.1. You shall set the price for each Product listed on the Marketplace in pounds sterling (£).

2.2. Owmer may charge you a commission fee on each sale of a Product through the Marketplace. The specific fee structure will be outlined in a separate agreement or fee schedule.

2.3. You are responsible for all applicable taxes associated with the sale of its Products in the UK, including but not limited to VAT.

3. Order fulfilment and customer service

3.1. You shall inform Owmer of current and forecast stock levels and prices. You shall send Owmer updated prices of all listed products whenever there is an actual or planned price change.

3.2. For Brick-and-mortar stores

3.2.1 You shall ensure all products come in adequate packaging where possible

3.2.2 You shall ensure adequate bags for bagging products are available

3.3 For other stores

3.3.1 You shall ensure all products come in adequate packaging

3.4 Owmer shall be responsible for shipping orders to customers in the UK.

3.5 Payment for goods will be made by Owmer at the point the products are being picked up.

3.6. You shall comply with all applicable UK laws and regulations regarding food safety, labelling, product handling, and advertising.

3.7 You acknowledge and agree that they are solely responsible for ensuring the quality, accuracy, and condition of the products sold via the Marketplace. Any quality issues, defects, or customer complaints related to the product itself, excluding matters of shipping and delivery, shall be the sole responsibility of You. You further agree to address and resolve such issues directly with the customer in compliance with the Marketplace’s policies and applicable laws.

4. Content Ownership and Use

4.1. You agree to grant Owmer a non-exclusive, worldwide, royalty-free license to use the Product information and materials provided by you for the purpose of listing, displaying and facilitating the sale of such Products on the Marketplace in the UK.

4.2 You acknowledge and agree that users of the Marketplace have the right to leave reviews and feedback regarding their purchase and experience with your products. You further agree that such reviews, whether positive or negative, will be displayed publicly on the Marketplace and shall not be subject to alteration or removal by you, except in cases where reviews violate the Owmer Marketplace review guidelines.

5. Term and Termination

5.1. This Agreement shall commence on the Effective Date and shall continue until notice of termination by either party as provided herein.

5.2. This Agreement may be terminated by either party upon thirty (30) days’ written notice to the other party.

5.3. Owmer may terminate this Agreement immediately upon written notice to you if you breach any material provision of this Agreement and fails to cure such breach within fourteen (14) days of written notice.

6. Disclaimers and Limitations of Liability

6.1. Owmer makes no warranties, express or implied, with respect to the marketplace or the services provided hereunder, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

6.2. In no event shall Owmer be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to this agreement, your products or the use of the marketplace, even if Owmer has been advised of the possibility of such damages.

7. Indemnification

7.1. You agree to indemnify, defend, and hold harmless Owmer and its affiliates, officers, directors, employees, and agents from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

(a) Your breach of this Agreement;

(b) the sale or marketing of your Products in the UK;

(c) any claim of intellectual property infringement by your Products; or

(d) Your use of the Marketplace

8. Governing Law and Dispute Resolution

8.1. This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.

8.2. Any dispute arising out of or relating to this Agreement shall be submitted to the exclusive jurisdiction of the courts of England and Wales.

9. Additional terms

9.1.Severability: If any of these Terms are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.

10. Miscellaneous

10.1 Entire Agreement: These Terms constitute the entire agreement between you and Owmer regarding the use of the Marketplace.

10.2 Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

10.3 By registering as a vendor on the Marketplace, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.
